TERMS OF SERVICE: CONVERTICO (PTY) LTD

Effective Date: February 2026

1. THE AGREEMENT

These Terms of Service ("Terms") govern the relationship between CONVERTICO (PTY) LTD (Registration: 2024/564549/07), hereafter "the Agency," and any person or entity engaging our services, hereafter "the Client." By requesting a quote, signing a proposal, or paying an invoice, the Client agrees to be bound by these Terms.

2. SERVICES & PROPOSALS

  • Scope: The specific services (SEO, Lead Gen, Content, etc.) will be defined in a separate Proposal or Service Level Agreement (SLA).
  • Adjustments: Any changes to the scope after work has commenced may result in additional fees.
  • Client Cooperation: The Agency’s ability to deliver is dependent on the Client providing necessary access (e.g., website logins, brand assets). Delays caused by the Client do not pause the billing cycle.

3. FEES AND PAYMENT

  • Non-Online Payments: All payments must be made via Electronic Funds Transfer (EFT) into the Agency’s nominated bank account as stated on the invoice.
  • Payment Terms: Standard payment is required strictly within 7 days of the invoice date unless otherwise agreed in writing.
  • VAT: All fees are subject to 15% VAT as per the Agency’s registration (VAT: 4090322589).
  • Late Payments: Late payments shall accrue interest at the maximum rate allowed under the Prescribed Rate of Interest Act. The Agency reserves the right to suspend all services and "pause" active campaigns if an account is more than 14 days overdue.

4. CANCELLATION AND REFUNDS

  • Notice Period: For monthly retainer services, either party may terminate the agreement by providing 30 days' written notice.
  • Refunds: Due to the nature of digital services and the immediate allocation of resources, no refunds will be issued for work already performed or for media spend already committed.
  • Deposits: Any "setup fees" or initial deposits are non-refundable once work has commenced.

5. INTELLECTUAL PROPERTY (IP)

  • Agency Tools: The Agency retains ownership of all proprietary processes, strategies, and internal tools used to deliver services.
  • Client Ownership: Upon full and final payment of all outstanding invoices, the ownership of the final creative deliverables (e.g., graphics, copy, website files) shall transfer to the Client.
  • License: The Client grants the Agency a non-exclusive license to use the Client’s name and logo in marketing materials to showcase "work performed" (case studies), unless otherwise requested in writing.

6. LIMITATION OF LIABILITY

  • Maximum Liability: To the maximum extent permitted by the Consumer Protection Act, the Agency’s total liability for any claim shall not exceed the total amount paid by the Client to the Agency during the three months preceding the claim.

7. CONFIDENTIALITY

Both parties agree to keep all trade secrets, pricing, and business strategies shared during the partnership confidential. This obligation continues for 24 months after the termination of services.

8. NON-SOLICITATION

The Client agrees not to offer employment to, or hire as a contractor, any employee or subcontractor of CONVERTICO (PTY) LTD during the term of this agreement and for a period of 12 months following its termination.

9. BREACH AND JURISDICTION

  • Breach: If either party breaches these terms, the aggrieved party may demand a remedy within 7 days. Failure to remedy may lead to immediate termination.
  • Legal Fees: In the event of legal action to recover unpaid fees, the Client shall be liable for legal costs on an "attorney-and-client" scale.
  • Governing Law: This agreement is governed by the laws of the Republic of South Africa. Both parties consent to the jurisdiction of the Magistrate’s Court in Pretoria.
